These Terms constitute a legally binding agreement between you ("Buyer", "Customer", "you") and Mahanakorn Tapioca Co., Ltd., a company incorporated in Thailand (Registration No. 0415565003420), with its registered office at 789 Moo 1, Udon Thani 41240, Thailand.
These Terms apply to all sales of products, all quotations, all purchase orders, and all use of this website. By submitting a purchase order, inquiry, or payment, you confirm that you are at least 18 years of age, have the legal capacity to enter into contracts, and are acting on behalf of a lawfully registered business entity (where applicable).
Acceptance of an order by the Company does not constitute a waiver of any right under these Terms. Any conflicting terms in a Buyer's purchase order are expressly excluded unless agreed to in writing by a duly authorised representative of the Company.
The Company manufactures and exports the following product categories, primarily on a business-to-business (B2B) basis:
All product specifications, certifications, and technical data sheets are provided for informational purposes and are subject to seasonal and production variation. Final specifications are confirmed in the Sales Contract or Pro-forma Invoice issued by the Company. Minimum order quantities (MOQ) and packaging specifications are stated per product quotation.
Prices, availability, and product specifications displayed on this website are indicative only and are subject to change without notice. A binding contract is formed only upon the Company's written acceptance of a purchase order and issuance of a Pro-forma Invoice.
Order Process: A sales contract is formed as follows:
Order Amendments: Amendments to confirmed orders must be requested in writing and are subject to the Company's agreement. The Company reserves the right to adjust price and delivery schedules for any amendment.
Order Cancellation: Please refer to our Refund & Cancellation Policy for full details on cancellation terms and applicable fees.
KYC Requirements: For new customers and for orders above certain thresholds (as required by our payment gateway providers and Thai financial regulations), the Company may require verification of business registration, tax identification, and authorised signatory details before processing an order.
Currency: Prices are quoted and invoiced in USD (United States Dollars) by default for international orders, and THB (Thai Baht) for domestic orders, unless otherwise agreed in writing.
Taxes: Quoted prices are exclusive of applicable taxes, including Thai Value Added Tax (VAT) at 7%, customs duties, import taxes, and any other charges payable in the destination country, unless explicitly stated otherwise.

Late Payment: Overdue amounts accrue interest at 1.5% per month (or the maximum permitted by Thai law, whichever is lower) from the due date until payment is received. The Company reserves the right to suspend future shipments if payment is overdue.

Incoterms: Unless otherwise agreed, international shipments are conducted on FOB (Free On Board) — Port of Bangkok terms per Incoterms® 2020. Risk of loss transfers to the Buyer upon loading of goods onto the vessel at the port of origin.
Delivery Timeframes: Estimated production and shipment lead times are provided in the Pro-forma Invoice. Lead times are estimates only and are not guaranteed. The Company is not liable for delays caused by:
Documentation: Standard export documentation includes Commercial Invoice, Packing List, Bill of Lading, Certificate of Origin (Form A / Form D / Form E as applicable), and Phytosanitary Certificate where required. Additional certificates (e.g., Halal, Kosher, Analysis Certificate) must be requested at time of order and may incur additional fees.

Warranties: The Company warrants that products conform to the specifications stated in the Sales Contract at the time of shipment. All products are inspected before loading. Third-party pre-shipment inspection (e.g., SGS, Bureau Veritas) is available at Buyer's request and cost.
Inspection: Buyer is responsible for inspecting goods upon arrival. Any claim for short delivery, visible damage, or non-conformance must be submitted in writing within 7 calendar days of arrival at the destination port.
Quality Claims: Claims for latent quality defects (e.g., starch content below specification, moisture, contaminants) must be submitted within 30 calendar days of arrival, supported by an independent laboratory analysis report from an accredited laboratory acceptable to the Company.
Remedies: Upon a valid, substantiated claim, the Company's liability is limited to, at the Company's election: (i) replacement of the non-conforming goods; (ii) credit note against future orders; or (iii) partial refund proportional to the defect. The Company is not liable for consequential damages.
No claim will be entertained if goods have been processed, adulterated, or stored improperly by the Buyer.

These Terms and all contracts for the sale of goods shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, including but not limited to:
For international trade contracts, the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply unless expressly excluded in the Sales Contract.
Nothing in these Terms shall limit the mandatory consumer protection rights available under the Buyer's local law where such protections cannot be contracted out of.
Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation. Either party may initiate the process by sending a written notice of dispute to the other party.
Mediation: If negotiation fails within 30 days, the parties agree to submit the dispute to mediation at the Thailand Arbitration Center (THAC) or another mutually agreed mediator.
Arbitration: If mediation fails, disputes shall be finally resolved by binding arbitration administered by the Thailand Arbitration Center (THAC) under its Rules of Arbitration. The arbitration shall be conducted in Bangkok, Thailand, in the English language (or Thai for domestic disputes). The decision of the arbitral tribunal shall be final and binding.
Court Jurisdiction: Notwithstanding the above, either party may seek emergency injunctive relief from courts of competent jurisdiction. For matters not subject to arbitration, the parties consent to the exclusive jurisdiction of the courts of Udon Thani Province, Thailand.
We reserve the right to update or amend these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of this website or placement of new orders after such changes constitutes acceptance of the revised Terms.
For existing, confirmed orders, the Terms in effect at the time of Order Confirmation shall govern.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
Entire Agreement: These Terms, together with any Sales Contract, Pro-forma Invoice, and applicable policies (Shipping Policy, Refund Policy, Payment Policy, Privacy Policy), constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior negotiations, representations, or agreements.
